These Terms of Service govern your access to and use of the Venturer Studios website and your purchase of products from Venturer Studios.
By accessing this website, creating an account, registering for release access or placing an order, you agree to these Terms of Service together with the Venturer Studios:
- Privacy Policy;
- Shipping Policy;
- Returns & Refunds Policy; and
- any other terms presented to you during registration or checkout.
If you do not agree to these Terms, please do not use the website or place an order.
Venturer Studios may update these Terms from time to time. The version published on the website when an order is placed will apply to that order unless otherwise required by law.
1. About Venturer Studios
Venturer Studios is an independent Australian fine art photography studio by Mitchell Lacey.
The studio releases selected photographs as signed and numbered, print-only limited editions.
References in these Terms to “Venturer Studios”, “the studio”, “we”, “us” or “our” mean Venturer Studios.
References to “you” or “your” mean a visitor to the website, registered collector, account holder or customer.
2. Eligibility and lawful use
By using this website, you confirm that you are legally able to enter into an agreement in your place of residence.
If you permit a minor to use this website, you are responsible for their use of the website.
You must not use the website, its content or any Venturer Studios product:
- for an unlawful or unauthorised purpose;
- in a way that infringes another person’s rights;
- to transmit malicious code, viruses or harmful material;
- to interfere with the operation, security or availability of the website;
- to submit false, fraudulent or misleading information; or
- in any way prohibited by these Terms.
3. Products and availability
Venturer Studios releases limited-edition, print-only works.
Each print is produced to order, signed, numbered and allocated within a finite edition.
Product availability may change without notice. The appearance of a product or edition number on the website does not guarantee availability until the order has been reviewed, accepted and confirmed by Venturer Studios.
Venturer Studios may limit or cancel quantities purchased per person, household, order, payment method or delivery address where reasonably necessary to:
- preserve edition integrity;
- prevent fraud;
- prevent unauthorised commercial dealing;
- correct an availability error; or
- protect the fair allocation of limited-edition works.
If Venturer Studios cancels an order after payment has been taken, the amount paid for the cancelled order will be refunded through the original payment method.
4. Editions and edition integrity
The edition size, available print sizes, numbering structure, release stages and edition status of each work are determined exclusively by Venturer Studios.
Unless otherwise stated on the relevant product page, each available size is issued as a separate edition of 20.
Edition numbers are allocated sequentially in accordance with the applicable release and allocation process.
Venturer Studios alone determines when an edition number has been:
- allocated;
- claimed;
- replaced;
- cancelled;
- retired;
- closed; or
- permanently sold out.
Once an edition is closed, Venturer Studios will not knowingly produce additional prints outside the stated edition.
No purchaser, reseller, marketplace, framer, gallery or other third party may:
- recreate or extend a Venturer Studios edition;
- issue additional edition numbers;
- describe an unauthorised reproduction as part of an official edition;
- alter the stated edition size;
- create a new edition from the same artwork; or
- represent an unofficial print as authorised by Venturer Studios.
5. Studio Ledger
Venturer Studios maintains a Studio Ledger recording the studio’s edition information, including, where applicable:
- work title;
- print size;
- edition number;
- original allocation;
- signing status;
- Certificate of Authenticity details;
- replacement status;
- cancellation or retirement status; and
- edition closure.
The Studio Ledger is Venturer Studios’ definitive internal record of the official edition and its original allocation.
It does not necessarily replace legal evidence of subsequent ownership, transfer, inheritance or other rights relating to a physical print.
A collector who transfers ownership of a physical print may contact Venturer Studios to ask whether the Studio Ledger can be updated. Venturer Studios may request reasonable supporting information before recording a transfer.
6. Certificates of Authenticity
Where stated on the product page, a Venturer Studios print is supplied with an official Certificate of Authenticity.
Only a Certificate of Authenticity issued directly by Venturer Studios is recognised by the studio as an official certificate for that work and edition number.
A certificate issued by a third party does not replace, amend or supersede the Venturer Studios Certificate of Authenticity or Studio Ledger.
A Certificate of Authenticity must not be:
- copied;
- reproduced;
- altered;
- separated from its edition details;
- used to authenticate another print; or
- used in a way that misrepresents the authenticity or status of a work.
7. Product presentation
Venturer Studios makes reasonable efforts to present photographs, colours, dimensions, materials, borders and other product details accurately.
The appearance of a print may vary slightly because of:
- screen settings;
- device displays;
- ambient lighting;
- photographic reproduction;
- paper characteristics; and
- the natural qualities of fine art print production.
Room images, framed mock-ups and interior presentations are illustrative unless expressly stated otherwise.
Venturer Studios products are supplied print-only unless the product page clearly states otherwise.
Illustrative framing, furniture, décor, room settings and accessories are not included.
Nothing in this section excludes or limits rights available under Australian Consumer Law.
8. Orders and acceptance
When placing an order, you agree to provide information that is accurate, complete and current.
An order-confirmation email acknowledges receipt of your order. It does not necessarily mean that the order has been finally accepted, allocated, produced or dispatched.
Venturer Studios may refuse, hold or cancel an order where reasonably necessary because of:
- incorrect product information;
- a pricing or availability error;
- an edition-allocation conflict;
- unavailable shipping;
- failed or reversed payment;
- suspected fraud;
- suspected unauthorised commercial dealing;
- an incorrect or incomplete delivery address;
- technical malfunction; or
- another material operational issue.
Where an order is cancelled after payment has been taken, Venturer Studios will arrange a refund of the amount paid for the cancelled order.
9. Pricing and payment
Prices are displayed in the currency selected or shown at checkout.
Currency conversion, where available, may be provided through Shopify or another payment or market service.
The final amount payable, including applicable shipping charges and taxes collected at checkout, will be shown before the order is submitted.
Venturer Studios may change product prices prospectively. A price change will not affect an order already accepted and confirmed, except where required to correct an obvious error and permitted by law.
Payment must be completed using one of the payment methods available at checkout.
You agree to provide accurate billing and payment information and confirm that you are authorised to use the selected payment method.
10. Pricing, typographical and website errors
Venturer Studios aims to keep product descriptions, prices, availability, edition information, shipping details and website content accurate.
Occasionally, information may contain:
- typographical errors;
- incorrect prices;
- inaccurate availability;
- display errors;
- delayed edition updates;
- technical publishing errors; or
- omissions.
Venturer Studios may correct inaccurate information or cancel an affected order where reasonably necessary and permitted by law.
If an affected order is cancelled after payment has been received, the amount paid for that order will be refunded.
Nothing in this section permits Venturer Studios to engage in misleading or deceptive conduct or limits rights available under Australian Consumer Law.
11. Shipping and delivery
Shipping and delivery are governed by the Venturer Studios Shipping Policy.
Venturer Studios ships from Australia to Australia and selected international destinations.
Orders are processed within 2–5 business days after confirmation.
Processing includes preparing, signing, numbering and securely packaging the print. Processing time does not include carrier delivery time.
Delivery timeframes shown at checkout are estimates only and may vary because of:
- destination;
- carrier operations;
- customs processing;
- local delivery conditions;
- severe weather;
- natural disasters;
- industrial action;
- public-health events;
- transport disruption;
- government action; or
- other circumstances outside the studio’s reasonable control.
International orders may be subject to customs duties, import taxes or other charges imposed by the destination country. Unless collected at checkout, these charges remain the responsibility of the collector.
Nothing in this section excludes rights or remedies available under Australian Consumer Law.
12. Returns, refunds and order issues
Returns, refunds, damage, defects, incorrect orders and other order issues are governed by the Venturer Studios Returns & Refunds Policy.
Venturer Studios does not ordinarily accept returns or provide refunds for:
- change of mind;
- incorrect size selection;
- changes in preference; or
- a decision that a work is unsuitable for a particular interior or frame.
This does not exclude or limit rights available under Australian Consumer Law.
If a print arrives damaged, defective or incorrect, contact Venturer Studios as soon as possible and preferably within seven days of delivery.
Venturer Studios may ask for:
- the order number;
- a description of the issue;
- photographs of the print;
- photographs of the external and internal packaging; and
- retention of the print and packaging while the matter is reviewed.
Once reviewed, if the issue is confirmed, Venturer Studios will arrange a replacement wherever reasonably possible. Where Australian Consumer Law provides another remedy, including a refund for a major failure, that remedy will remain available.
13. Changes and cancellations
Please check the product, size, price, delivery details and order information carefully before completing a purchase.
Contact Venturer Studios immediately if you need to request a change or cancellation.
Once an order has entered production or an edition number has been allocated, the order cannot ordinarily be changed or cancelled.
This does not affect rights or remedies available under Australian Consumer Law.
14. Replacement prints
Where a replacement print is arranged, Venturer Studios will provide instructions regarding the affected print and packaging.
A replacement will retain the original edition allocation wherever reasonably possible.
Producing a replacement does not:
- create an additional edition number;
- increase the stated edition size; or
- permit both the original and replacement print to remain in circulation as authentic prints of the same edition number.
Venturer Studios may require the damaged or defective print to be returned, destroyed or otherwise rendered unavailable before completing the replacement.
15. Ownership of the physical print
When you purchase a genuine Venturer Studios print, you acquire ownership of that physical print, subject to these Terms and applicable law.
Ownership of the physical print may permit you to display it privately and to transfer or resell that physical print.
Any resale or transfer must not:
- imply that the seller is an authorised Venturer Studios dealer, representative or partner;
- involve reproducing the artwork;
- alter or falsify the edition number, signature or Certificate of Authenticity;
- describe an unofficial certificate as studio-issued;
- misrepresent the print’s condition, provenance or authenticity; or
- use Venturer Studios branding in a misleading manner.
Ownership of the physical print does not transfer copyright or any other intellectual-property right.
16. Copyright and intellectual-property ownership
Copyright in Venturer Studios photographs remains with Mitchell Lacey unless otherwise stated.
Venturer Studios administers the presentation, sale and authorised use of the works.
Purchasing or possessing a print does not transfer:
- copyright;
- moral rights;
- image rights;
- reproduction rights;
- publication rights;
- distribution rights;
- adaptation rights;
- digital rights;
- licensing rights;
- merchandising rights; or
- commercial-use rights.
All website content, including photographs, written copy, product descriptions, graphics, layouts, product photography, room renders, mock-ups, certificates, release materials and editorial content, is owned by or licensed to Venturer Studios and is protected to the extent provided by applicable law.
17. Permitted personal use
You may:
- view the website for personal, non-commercial purposes;
- display a legitimately purchased physical print for personal purposes; and
- share an ordinary link to a publicly accessible Venturer Studios webpage.
No other licence is granted except where Venturer Studios provides express written permission.
Nothing in these Terms limits a use that is expressly permitted by applicable law and cannot lawfully be restricted.
18. Prohibited use of artworks and content
Without prior written permission from Venturer Studios, you must not:
- reproduce or copy an artwork or website image;
- scan or digitise a print;
- create or distribute reproduction prints;
- publish or redistribute high-resolution files;
- commercially photograph a print;
- use an artwork in advertising, packaging or promotion;
- use an artwork on merchandise;
- edit, recolour, crop, composite or materially alter an artwork for publication or commercial use;
- create derivative works;
- licence or sublicense the artwork;
- distribute the artwork through a digital platform;
- mint or associate the artwork with an NFT, token or blockchain asset;
- use the artwork as part of a product, service, template or design asset;
- use product photographs, mock-ups or room renders to advertise third-party goods or services;
- falsely attribute an artwork;
- remove or obscure copyright, signature, edition or attribution information; or
- commercially exploit any Venturer Studios content.
Permission requests for publication, editorial use, exhibition, licensing or other use must be submitted through the Contact page.
19. Artificial intelligence and machine learning
Unless Venturer Studios gives prior written permission, no Venturer Studios artwork, photograph, image, text, metadata, product information, website content or other material may be collected, copied, processed, supplied or used for:
- artificial-intelligence training;
- machine-learning training;
- foundation-model development;
- generative-image systems;
- multimodal models;
- computer-vision datasets;
- synthetic dataset creation;
- model evaluation or benchmarking;
- embeddings or vector databases;
- automated feature extraction;
- image recognition or classification datasets;
- style imitation;
- fine-tuning;
- retrieval-augmented generation;
- prompt or output libraries; or
- any substantially similar automated computational purpose.
This restriction applies whether the use is commercial, academic, experimental, internal or public, except to the extent a use cannot lawfully be restricted.
20. Automated scraping and data harvesting
Ordinary indexing by legitimate search engines for the purpose of displaying public search results is permitted, subject to the website’s technical controls.
All other automated access requires prior written permission.
You must not use bots, crawlers, scripts, agents, automated browsers or other systems to:
- scrape website content;
- bulk-download images;
- extract galleries;
- harvest metadata;
- monitor pricing or edition availability at scale;
- create databases or datasets;
- reproduce page structures;
- bypass access controls;
- overload the website;
- access non-public areas; or
- collect content for commercial, competitive, AI or machine-learning purposes.
Venturer Studios may use technical, contractual or legal measures to prevent or respond to unauthorised automated access.
21. Brand and identity
The Venturer Studios name, logo, visual identity, release presentation and other distinctive brand elements may be protected by copyright, trade mark, passing-off, consumer-protection or other applicable laws.
No right to use Venturer Studios branding is granted except for ordinary truthful reference to a genuine work.
You must not use Venturer Studios branding in a way that:
- suggests sponsorship, approval, affiliation or endorsement;
- creates a misleading impression of authority;
- impersonates Venturer Studios or Mitchell Lacey;
- promotes an unauthorised reproduction;
- markets third-party products or services;
- creates confusingly similar branding; or
- misrepresents the origin or authenticity of a work.
Artwork titles, collection names and release names are protected only to the extent available under applicable law.
22. Authorised representation
Unless Venturer Studios has provided express written authority, no person or business may represent themselves as:
- an authorised dealer;
- an authorised reseller;
- an official partner;
- an official representative;
- an approved gallery;
- an authentication authority;
- a licensing agent; or
- otherwise formally affiliated with Venturer Studios.
Venturer Studios does not recognise unauthorised statements of authentication, representation or endorsement.
23. Product photography, mock-ups and promotional assets
Product photographs, framed mock-ups, room renders, installation images, detail photographs, promotional graphics and other presentation assets remain the intellectual property of Venturer Studios or the relevant licensor.
They must not be used without written permission to:
- market frames, furniture, interiors or other third-party goods;
- advertise printing or reproduction services;
- imply commercial collaboration;
- create competing product listings;
- promote unauthorised resale businesses;
- generate derivative mock-ups; or
- represent an unofficial product as a Venturer Studios release.
24. Accounts and registration
Where the website permits accounts or release registration, you agree to provide accurate and current information.
You are responsible for maintaining the confidentiality of your account credentials and for activity conducted through your account.
You must not:
- impersonate another person;
- create accounts using false information;
- register through automated means;
- create multiple accounts to manipulate edition access;
- interfere with fair allocation;
- use another person’s account without permission; or
- use an account for fraud or unauthorised commercial dealing.
Venturer Studios may suspend, restrict or close an account where misuse is reasonably suspected.
Registration for release access does not guarantee:
- allocation of a print;
- allocation of a specific number;
- continued availability;
- acceptance of an order; or
- access beyond the conditions communicated for that release.
25. User submissions
Where you submit an enquiry, review, testimonial, image or other material, you confirm that:
- you have the right to submit it;
- it is accurate and lawful;
- it does not infringe another person’s rights;
- it does not contain malicious material; and
- it is not misleading, defamatory or abusive.
You retain ownership of material you create.
Where you expressly submit material for publication, you grant Venturer Studios a non-exclusive, royalty-free licence to reproduce, format and display that material for the purpose for which it was submitted.
Venturer Studios may moderate, decline, edit for formatting or remove published user material where reasonably necessary.
Venturer Studios will not publish a private contact-form submission as promotional content without separate permission.
26. Third-party services and links
The website relies on third-party services, which may include:
- Shopify;
- payment providers;
- analytics providers;
- email services;
- hosting and security providers;
- shipping carriers; and
- other operational systems.
The availability and performance of those services may be outside Venturer Studios’ control.
Your use of a third-party service may also be subject to that provider’s terms and privacy practices.
The website may contain links to third-party websites. Venturer Studios is not responsible for the content, availability, accuracy, security, policies or practices of third-party websites.
27. Privacy
Personal information is collected, used, stored and disclosed in accordance with the Venturer Studios Privacy Policy and applicable law.
The Privacy Policy should be read together with these Terms.
28. Website availability
Venturer Studios aims to keep the website accurate, secure and available but does not guarantee uninterrupted or error-free access.
The website may be unavailable because of:
- planned maintenance;
- emergency maintenance;
- software or hosting faults;
- cybersecurity events;
- third-party service interruption;
- internet disruption;
- traffic volume; or
- circumstances outside the studio’s reasonable control.
Venturer Studios may change, suspend or discontinue a website feature where reasonably necessary.
Nothing in this section limits liability or remedies that cannot lawfully be excluded.
29. Events outside reasonable control
Venturer Studios will not be responsible for delay or failure caused by an event outside its reasonable control to the extent permitted by law.
Such events may include:
- natural disasters;
- fire or flood;
- severe weather;
- pandemic or public-health emergency;
- government restrictions;
- war, civil disturbance or terrorism;
- industrial action;
- carrier disruption;
- customs delays;
- transport interruption;
- power or internet failure;
- cyberattack;
- material or supply interruption; or
- failure of a critical third-party provider.
Where such an event affects an accepted order, Venturer Studios will communicate with the collector and take reasonable steps to minimise disruption.
Nothing in this section excludes rights available under Australian Consumer Law.
30. Disclaimer
The website and its content are provided on an “as available” basis.
To the extent permitted by law, Venturer Studios does not warrant that the website will always be uninterrupted, error-free, secure or free from harmful components.
Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded, restricted or modified.
31. Limitation of liability
To the extent permitted by law, Venturer Studios is not liable for indirect, incidental, special or consequential loss arising from:
- use of or inability to use the website;
- reliance on website content;
- interruption of third-party services;
- unauthorised access outside the studio’s reasonable control; or
- purchase or use of a product.
Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability arising under Australian Consumer Law.
32. Indemnity
To the extent permitted by law, you agree to indemnify Venturer Studios against reasonable loss, liability, damage, cost or expense arising directly from:
- your material breach of these Terms;
- your unlawful use of the website;
- your fraudulent conduct;
- your infringement of another person’s rights; or
- your unauthorised reproduction or commercial exploitation of Venturer Studios intellectual property.
This clause does not require you to indemnify Venturer Studios for loss caused by Venturer Studios’ own unlawful conduct, negligence or breach of statutory obligations.
33. Enforcement
Venturer Studios may investigate suspected misuse and may take reasonable action including:
- restricting website access;
- suspending accounts;
- cancelling affected orders where permitted by law;
- issuing takedown requests;
- requesting removal of unauthorised material;
- notifying a platform or service provider;
- preserving evidence; and
- seeking legal remedies.
Failure to act immediately does not waive any right.
34. Termination
Venturer Studios may suspend or terminate access to the website where a person materially breaches these Terms or uses the website in an unlawful, harmful or fraudulent way.
Terms relating to payment, ownership, intellectual property, prohibited use, liability, indemnity, governing law and any provision intended to continue will survive termination where applicable.
35. Dispute resolution
If a concern arises, please contact Venturer Studios first so the matter can be reviewed in good faith.
Nothing in this section prevents either party from:
- seeking urgent legal relief;
- exercising rights under Australian Consumer Law;
- contacting a consumer-protection body; or
- commencing proceedings where legally entitled.
36. Governing law and jurisdiction
These Terms are governed by the laws of New South Wales, Australia and the applicable laws of the Commonwealth of Australia.
Subject to any non-excludable right to bring a claim elsewhere, the parties submit to the courts of New South Wales and courts entitled to hear appeals from them.
Nothing in these Terms limits rights available under Australian Consumer Law or another law that cannot lawfully be excluded.
37. Severability
If any provision of these Terms is unlawful, void or unenforceable, that provision will be severed or limited to the minimum extent necessary.
The remaining provisions will continue in effect.
38. Entire agreement
These Terms, together with the policies and terms incorporated by reference, form the agreement governing use of the website and purchases made through it.
They do not exclude any representation or obligation that cannot lawfully be excluded.
39. Amendments
Venturer Studios may update these Terms by publishing a revised version on the website.
Changes will apply prospectively from the stated update date, except where a change must apply earlier by law.
The version in effect when an order is placed will ordinarily govern that order.
40. Waiver
A delay or failure by Venturer Studios to exercise a right does not waive that right.
A waiver is effective only where it is clearly communicated in writing.
41. Assignment
You may not assign contractual rights or obligations under these Terms without the prior written consent of Venturer Studios, except where assignment is permitted by law.
Venturer Studios may transfer its rights and obligations as part of a genuine sale, restructuring or transfer of the studio, provided this does not reduce any non-excludable consumer right.
